The legal agreement governing your relationship with United Humanity Agency for Development

1. Introduction

These Terms and Conditions ("Terms") govern your relationship with the United Humanity Agency for Development ("UHAFD," "we," "our," or "us") and your use of our website, applications, services, and platforms (collectively, the "Services"). These Terms constitute a legally binding agreement. We recommend that you read them carefully. By using our Services, applying for funding, making donations, or engaging with UHAFD in any capacity, you accept these Terms in full.

2. Eligibility

To use our Services, you must be:

  • At least 18 years of age or the legal age of majority in your jurisdiction
  • Legally capable of entering into binding contracts
  • Not barred from using our Services under applicable laws
  • Acting on behalf of yourself or an organization you are authorized to represent

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" in these Terms will refer to both you and the organization.

3. Use of Our Services

3.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

  • In any way that violates any applicable local, national, or international law or regulation
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services

UHAFD will not be liable for any loss or damage arising from your failure to protect your account information.

4. Application for Funding

4.1 Grant Applications

When applying for grants, donations, or investments from UHAFD, you agree to:

  • Provide accurate, complete, and up-to-date information
  • Submit genuine documentation that can be verified
  • Disclose all relevant information that may affect your eligibility
  • Use any funds received solely for the purposes stated in your application
  • Comply with all reporting requirements if your application is approved

4.2 Application Review Process

UHAFD reserves the right to:

  • Review applications according to our own criteria and timelines
  • Request additional information or documentation
  • Verify all information provided in your application
  • Approve or deny applications at our sole discretion
  • Set conditions for approval

Submission of an application does not guarantee approval or funding. All decisions regarding applications are final, though applicants may reapply in accordance with our policies.

5. Anti-Money Laundering and Counter-Terrorist Financing Compliance

5.1 Policy Statement

UHAFD is firmly committed to combating money laundering, terrorist financing, and other financial crimes. We maintain comprehensive anti-money laundering (AML) and counter-terrorist financing (CTF) programs that comply with applicable laws and regulations in all jurisdictions where we operate.

5.2 Due Diligence

By engaging with our Services, you acknowledge and agree that UHAFD may:

  • Conduct thorough Know Your Customer (KYC) and due diligence procedures
  • Verify your identity using various methods including document verification, biometric checks, database screening, and third-party verification services
  • Screen your information against sanctions lists, politically exposed persons (PEP) lists, and other watch lists
  • Request information about the source of funds for any donation, investment, or transaction
  • Monitor transactions and activities for suspicious patterns
  • Retain records of verification and transactions as required by law

5.3 Legal Compliance Requirements

You agree and represent that:

  • All funds you provide to or receive from UHAFD are derived from legitimate sources
  • You are not engaged in, or seeking to engage in, money laundering, terrorist financing, fraud, or other financial crimes
  • You are not subject to sanctions or restrictions under applicable laws
  • You will promptly provide any information requested for due diligence purposes
  • You will cooperate with any investigation related to AML/CTF compliance

5.4 Reporting Obligations

UHAFD is legally obligated to report suspicious activities to relevant authorities. You acknowledge that we may:

  • Report suspicious transactions or activities without notifying you
  • Delay, block, or refuse to process transactions that raise compliance concerns
  • Share your information with regulatory bodies when legally required
  • Terminate your access to our Services if compliance concerns cannot be resolved

6. Donations and Financial Contributions

6.1 Processing of Donations

When you make a donation to UHAFD:

  • You authorize us to process your payment through our secure payment processors
  • You confirm that you are using your own funds and payment methods
  • You understand that donations may be subject to KYC verification before processing
  • You acknowledge that processing fees may be deducted from donations

6.2 Allocation of Funds

UHAFD strives to ensure that donations are used effectively and in accordance with our mission. However, unless specifically designated and accepted as restricted funds, UHAFD maintains discretion in the allocation of donations to fulfill our charitable purposes.

6.3 Tax Considerations

While UHAFD is a registered charity, tax deductibility of donations varies by country and jurisdiction. You are responsible for determining the tax implications of your donations. We recommend consulting with a tax advisor regarding the deductibility of any contribution.

7. Equity Investment Terms

For recipients of UHAFD's ethical investment funding:

  • You acknowledge that UHAFD's micro-equity investments involve UHAFD taking a small equity position (typically 1.5%) in your business or venture
  • You agree to execute all necessary legal documentation to formalize this equity arrangement
  • You commit to operate your business ethically and in alignment with UHAFD's values
  • You agree to provide regular reports on business performance and social impact as specified in your investment agreement

Specific terms of investment will be detailed in separate investment agreements, which will supplement these Terms.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by UHAFD, our licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services without our prior written consent, except for:

  • Your computer temporarily storing copies of such materials in RAM incidental to your accessing and viewing those materials
  • Store files that are automatically cached by your web browser for display enhancement purposes
  • Print reasonable number of pages of the website for your personal, non-commercial use

9. Privacy and Data Protection

10. Disclaimers and Limitations of Liability

10.1 Disclaimer of Warranties

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. UHAFD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UHAFD, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
  • ANY CONTENT OBTAINED FROM THE SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

UHAFD'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO UHAFD, IF ANY, IN THE PAST SIX MONTHS.

11. Indemnification

You agree to defend, indemnify, and hold harmless UHAFD, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in London, United Kingdom, and you hereby consent to the personal jurisdiction and venue therein.

Before initiating any legal proceeding, you agree to attempt to resolve any dispute through good-faith negotiation with UHAFD for at least 30 days.

13. Changes to Terms

UHAFD reserves the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

14. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect. UHAFD's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and UHAFD regarding your use of the Services, superseding any prior agreements between you and UHAFD.
